Eligibility

You must be at least 13 years of age to use our services. If you are under 18 years of age, you must have the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using our services, you represent and warrant that you meet these eligibility requirements. We do not knowingly collect personal information from children under 13. If we learn that we have collected information from a child under 13 without parental consent, we will promptly delete that information.

1. Acceptance of Terms

By accessing or using any services provided by Hotep Intelligence, including but not limited to askhotep.ai, knowledge.askhotep.ai, and the Hotep Intelligence Telegram bot (@hotep_llm_bot), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use our services.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Hotep Intelligence (“we,” “us,” or “our”). We reserve the right to update these Terms at any time, and your continued use of the services after any changes constitutes acceptance of the revised Terms.

2. Description of Service

Hotep Intelligence is an AI-powered cultural education platform. Our services include:

• AskHotep Website — A marketing and educational website at askhotep.ai featuring a live AI demo, blog, and community resources.
• Telegram Bot — An AI-powered conversational assistant available via Telegram (@hotep_llm_bot) providing culturally-aligned responses on topics including African history, holistic wellness, financial sovereignty, and more.
• Knowledge Base — A searchable repository of articles and educational content at knowledge.askhotep.ai covering Afrocentric history, wellness protocols, and cultural education.
• Pro Subscription — A paid tier offering unlimited access to the AI assistant and premium features.

3. Use of Service

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the services in any way that violates any applicable federal, state, local, or international law or regulation.
• Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the services.
• Use automated scripts, bots, scrapers, or other automated means to access or collect data from the services without our express written permission.
• Attempt to gain unauthorized access to any portion of the services, other accounts, computer systems, or networks connected to the services.
• Use the services to transmit any advertising, promotional material, spam, or any other form of unsolicited communication.
• Impersonate or attempt to impersonate Hotep Intelligence, a Hotep Intelligence employee, or any other person or entity.
• Use the services to generate content that is hateful, threatening, harassing, defamatory, or otherwise objectionable.

4. AI-Generated Content Disclaimer

AI-generated responses are provided for educational and informational purposes only. They do not constitute professional advice of any kind, including but not limited to legal, financial, medical, or therapeutic advice. You should not rely solely on AI-generated content when making important decisions.

We make no representations or warranties regarding the completeness, accuracy, reliability, or suitability of any AI-generated content. You acknowledge that you use AI-generated content at your own risk and discretion.

5. Medical & Health Disclaimer

You must not use any health-related information provided by our services as a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified physician or other qualified health provider with any questions you may have regarding a medical condition.

Never disregard professional medical advice or delay in seeking it because of something you have read or received through our services. If you think you may have a medical emergency, call your doctor or emergency services immediately.

Hotep Intelligence does not recommend or endorse any specific tests, physicians, products, procedures, opinions, or other information that may be mentioned through our services. Reliance on any information provided by our services is solely at your own risk.

6. Intellectual Property

The services and their entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, audio, and the design, selection, and arrangement thereof — are owned by Hotep Intelligence, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, trade secret, and other intellectual property or proprietary rights laws.

AI-generated responses produced by our models are the property of Hotep Intelligence. The knowledge base articles, blog posts, and other editorial content are protected by copyright. You may share AI responses for personal, non-commercial use with attribution to Hotep Intelligence.

7. User Content

When you interact with our services, including sending messages to the Telegram bot or using the web demo, your messages and interactions may be used to improve the quality and accuracy of our AI models and services. By using our services, you grant us a non-exclusive, royalty-free license to use your interactions for the purpose of service improvement.

We do not sell your personal data or message content to third parties. Your interactions are used solely for the purpose of improving our AI models and the quality of our services. For more information about how we handle your data, please refer to our privacy practices.

8. Advertising

Our website may display advertisements served by third-party advertising networks, including Google AdSense. These advertisements help support the free tier of our services and enable us to continue providing educational content to the community.

By using our free services, you agree to the display of advertisements as a condition of access. Third-party advertisers may use cookies and similar tracking technologies to serve ads based on your prior visits to our website or other websites. You may opt out of personalized advertising by visiting Google Ads Settings.

We are not responsible for the content of third-party advertisements. The presence of an advertisement on our services does not constitute an endorsement by Hotep Intelligence of the advertised product or service.

9. Payment Terms

Hotep Intelligence offers a Pro subscription tier at $9.99 per month, processed securely through Stripe. By subscribing to the Pro tier, you agree to the following:

• Billing: Your subscription will be billed monthly on the date of your initial purchase. Payment is processed automatically through Stripe.
• Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access to Pro features until the end of your current billing period. No partial refunds will be issued for unused portions of a billing period.
• Refunds: Refunds are issued at our sole discretion. We may issue refunds or credits in cases of extended service downtime or technical issues that significantly impact your ability to use the Pro features. Our automatic downtime tracking system monitors service availability for this purpose.
• Price Changes: We reserve the right to change subscription pricing. Existing subscribers will be notified at least 30 days before any price changes take effect for their subscription.
• Free Tier: The free tier provides up to 20 messages per day. Free tier access is subject to availability and may be modified at any time.

Cancellation & Refunds

You may cancel your Hotep Pro subscription at any time through the Stripe billing portal accessible at /billing or via the link provided in your billing confirmation email. Upon cancellation:

• Your Pro access continues until the end of the current billing period.
• You will not be charged for subsequent billing periods.
• No pro-rated refunds are issued for unused portions of the current billing period.
• Refunds for technical service outages exceeding 24 continuous hours may be requested by contacting contact@askhotep.ai and are issued at our discretion.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOTEP INTELLIGENCE, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, the services.
• Any conduct or content of any third party on the services.
• Any content obtained from the services, including any AI-generated responses.
• Unauthorized access, use, or alteration of your transmissions or content.
• Any inaccuracies, errors, or omissions in AI-generated content.
• Any actions taken or not taken based on AI-generated content, including health-related information.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless Hotep Intelligence and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the services, including but not limited to any actions taken based on AI-generated content.
• Your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right.
• Any claim that your use of the services caused damage to a third party.

12. Termination

We may terminate or suspend your access to all or part of the services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination:

• Your right to use the services will immediately cease.
• If you have an active Pro subscription, no further charges will be made, but no refund will be issued for the current billing period.
• We may delete or restrict access to your account data, interaction history, and any associated content.
• All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the services. The “Last Updated” date at the top of this page indicates when these Terms were last revised.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located within the United States, and you hereby consent to the personal jurisdiction and venue therein.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
